SurgiMate (“the Company”) respects the privacy of every person who visits our websites and is committed to protecting the privacy of certain data and information that is collected from you and that you submit when you access this website (the "Site"). This Privacy Statement outlines how SurgiMate will collect and how we will use that information.

SurgiMate uses its website to make information, products and services available to a diverse group of people who are interested in SurgiMate and its products and services, including present and prospective customers, healthcare IT professionals, investors and members of the general public.

SurgiMate’s primary goal in collecting personal information from you is to give you a meaningful, enjoyable and customized experience while using our websites and to allow us to develop new products and services that are relevant to visitors like you. Personal information also allows us to provide services and features that most likely meet your needs, and to customize our service to make your online experience smooth and efficient.

SurgiMate may collect and use the following types of information:

A) Requested Information: SurgiMate may ask you to provide information about yourself, or your companies, in order to better serve you, for instance, in connection with a request by you for information about SurgiMate and its products and services.  Examples of information requested from you may include a name, company, title, type of business, type of medical practice or specialty, address, phone number, email address, billing information and other relevant data. Information requested from you may also include more specific details about your business or any particular project or issue concerning which you contacted the Company for assistance.  If you decide to provide personal and contact information to the Company through the Site, in no case will the Company sell, license or transmit that information to third parties, except as required or permitted by law (i.e. responding to a subpoena or other legal obligation) or as authorized by you.  Data and information gathered is used only to deliver requested information and respond to your questions.  Contact information may also be used to contact customers or prospective customers about new products and services.  Any such information that you voluntarily share with the Company is kept strictly confidential and secure.

B) Personal Information
To gain access to certain information on our websites, we need to collect information identifying who you are, your e-mail address and your mailing address. Visitors may also be asked to select a user ID and password. If you opt not to provide your personal information, you can still access our websites; however, you may be unable to gain access to certain information.

C) Aggregate and Statistical Data
SurgiMate may collect certain aggregate data called web log information (such as your IP address, web browser, browser version, operating system, pages visited, length of time you spend on pages, the site from which you linked to our etc.) and use cookies when you visit sites. For instance, when you visit one of our sites, our web server will automatically recognize some non-personal information, including but not limited to the date and time you visited our site, the pages you visited, the referrer (the website you came from), the type of browser you are using (e.g. Netscape, Internet Explorer), the type of operating system you are using (e.g., Windows '95 or Mac OS), and the domain name and address of your Internet service provider (e.g., AOL). Neither the web log information nor cookies collects any personal information that can be associated with you as an individual. They do not contain personal information, such as your name or e-mail address, and in no way are used to identify our users.

D) Cookies: SurgiMate may use such "cookie" technology to obtain non-personal information from you as an online visitor. Cookies are text information files that your web browser places on your computer when you visit a website.  Cookies help us in many ways to make your visit to our websites more enjoyable and meaningful to you. Cookies may also be used in the process of compiling the statistical information mentioned above and to tailor certain pages of the Site for your browsing convenience. You may have the option of setting your browser to reject cookies, but the SurgiMate Site may not function correctly if you do.

SurgiMate may use personal information about you to improve our marketing and promotional efforts; to statistically analyze site usage; to improve our content and product offerings; and to customize our sites' content, layout and services. We may also use your information to deliver information to you that, in some cases, is targeted to your interests, new services and promotions. We believe these uses allow us to improve our site and better tailor it to meet our visitors' needs. SurgiMate does not collect personal information automatically, but we may combine non-personal information collected automatically (e.g., through web log data) with your previously submitted personal information.

SurgiMate uses web log information (such as your web browser, operating system, pages visited, etc.) to help us design our website, to identify popular features, and for other managerial purposes. However, web logs may be used if necessary to help identify any person attempting to break into or damage our website. We may share web log information with law enforcement agencies if we believe that we have evidence of a violation of computer security or related laws.

Except as stated below, we will not share, trade or sell personal information of our visitors for use by any business. However, aggregated and statistical data from our visitors may be shared with our partners. Occasionally, we may share personal information from you (such as name, mailing addresses and e-mail addresses) with vendors, contractors or partners of SurgiMate in connection with services that these individuals or entities perform for or with SurgiMate. These vendors, contractors or partners are restricted from using this data in any way other than to provide services for SurgiMate, and they may not share or resell this data. The services they provide may include such activities as direct mailing, fulfillment services, or e-mail campaigns. SurgiMate may share your information with any person or company that acquires Surgimate business or any portion of the SurgiMate business to which your information relates. Surgimate will ensure that any person or company to which your information is transferred agrees to abide by the same privacy obligations as SurgiMate. SurgiMate also reserves the right to share the information to respond to duly authorized information requests of governmental authorities or where required by law.

SurgiMate is committed to keeping the data you provide us secure and will take reasonable precautions to protect your personal information from loss, misuse or alteration. Vendors, contractors, or partners of SurgiMate who have access to your personal information in connection with providing services for SurgiMate are required to keep the information confidential and are not permitted to use this information for any other purpose than to carry out the services they are performing for us. When necessary, we use secure connections on our web sites to protect information during its transmission.

This Privacy Policy is governed by the internal substantive laws of the State of New York in the United States, without regard to its conflict of laws principles. Jurisdiction for any claims arising under or out of this Privacy Policy shall lie exclusively with the state and federal courts within the State of New York. If any provision of this Privacy Policy is found to be invalid by a court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Privacy Policy, which shall remain in full force and effect.

UNDER NO CIRCUMSTANCES SHALL SURGIMATE HAVE ANY LIABILITY WHATSOEVER FOR ANY ERRORS OR OMISSIONS IN INFORMATION ON THE SITE, OR FOR ANY DAMAGES, LOSSES, OR EXPENSES THAT MAY OCCUR WHILE ACCESSING THE SITE, OR ANY LINKED SITE, OR THE INABILITY TO ACCESS THESE SITES; OR ANY FAILURE OF PERFORMANCE, ERROR, OMISSION, INTERRUPTION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS OR LINE OR SYSTEM FAILURE; OR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT OR SPECIAL DAMAGES ARISING OUT OF THE BREACH OF THIS PRIVACY POLICY, HOWEVER OCCASIONED.  THIS SITE SHOULD BE USED FOR BUSINESS PURPOSES ONLY.

SurgiMate reserves the right to change its privacy policy at any time, in which event the Site will contain a notice of the change. Changes will be effective immediately upon posting to the Site. By further accessing the Site, you are indicating your agreement to the Company's privacy policy.
